Software Licence Agreement

Subject to your compliance with this agreement and the Terms & Conditions, Pro Edge Trading grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the ProEdge products you have purchased.

This is a licence, not a sale. Title to the software and all intellectual property in it remains with Pro Edge Trading.

You may install and run the software on the machines registered and approved on your account — one machine per licensed slot, with one slot included.

You may use it for your own trading, whether personal or through a business entity you control, including on funded or proprietary trading accounts.

You may keep local backups of the files for your own use.

The software is bound to a specific computer through the Machine ID assigned by NinjaTrader. It will not run on an unregistered or unapproved machine.

Additional machine slots are $50 each, one time, purchased from your account. Replacing a machine is free: retire the registered machine and register the replacement.

We may decline or revoke a machine registration where we reasonably believe it is being used to circumvent licensing — including the same Machine ID appearing across unrelated accounts, or machines being cycled to run more concurrent installations than the account has slots for.

You may not:

• Copy, share, publish, resell, rent, lease, sublicense, or otherwise distribute the software
• Reverse engineer, decompile, disassemble, or attempt to derive the source code, except to the extent law expressly permits despite this restriction
• Circumvent, disable, or interfere with machine-ID licensing or any protection mechanism
• Modify or create derivative works from the software
• Use the software to develop a competing product
• Remove or obscure any copyright, trademark, or attribution notice

Updates and new versions of products you own are provided at no additional charge for as long as we continue to publish them, and are covered by this agreement on the same terms.

We are not obliged to maintain compatibility with future versions of NinjaTrader, Windows, or any third-party service, though we intend to.

Pro Edge Trading retains all right, title, and interest in the software, including all algorithms, signal logic, source code, visual design, names, and documentation. Nothing in this agreement transfers ownership of anything to you.

This licence ends automatically if you breach this agreement or the Terms & Conditions, and may be revoked where an incomplete payment plan is cancelled, as described in the Terms.

On termination you must stop using the software and delete your copies. Your machine registrations are deactivated and the software will no longer run.

Sections covering restrictions, ownership, and limitation of liability survive termination.

The software is provided "as is", without warranty of any kind. Limitation of liability is set out in the Terms & Conditions and applies to this agreement in full.
